1. Acceptance of Terms

By accessing or using the LiveDocHub platform and services (the "Services") provided by LiveDocHub, Inc. ("LiveDocHub", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

2. Description of Services

LiveDocHub provides a cloud-based document collaboration and workspace platform that allows users to create, edit, share, and annotate documents in real-time. Services include document storage, version control, collaborative editing, commenting, access control, API integrations, and related features described on our website. We reserve the right to modify, suspend, or discontinue any part of the Services with reasonable notice.

3. Eligibility

To use the Services, you must be at least 13 years old (or the minimum age required in your jurisdiction). If you are between 13 and 18, your parent or legal guardian must consent to these Terms. By accessing the Services, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and truthful.

4. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep your login credentials confidential. You are responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or other breach of security. We reserve the right to terminate accounts that we believe violate these Terms.

5. Subscription Plans and Payment

Access to premium features requires a paid subscription. Pricing, billing cycles, and terms are set forth on our website. You authorize us to charge your payment method for the applicable subscription fees. Subscriptions auto-renew unless cancelled. You may cancel your subscription at any time via your account settings, effective at the end of the current billing period. We do not offer refunds for partially used subscription periods. Payment information is processed securely by our third-party payment processor (Stripe) in accordance with their terms.

6. Acceptable Use

You agree not to use the Services for any unlawful, harmful, or abusive purposes, including:

  • Violating any applicable law or regulation
  • Transmitting malware, viruses, or harmful code
  • Accessing, modifying, or deleting other users' content without authorization
  • Attempting to disrupt or compromise the integrity or security of the Services
  • Reverse-engineering or decompiling the Services
  • Using the Services for competitive analysis or to develop competing products
  • Harassing, threatening, defaming, or abusing other users

7. Intellectual Property

LiveDocHub retains all right, title, and interest in the Services, including all underlying code, algorithms, intellectual property, trademarks, and logos. You retain ownership of your User Content (as defined below) but grant LiveDocHub a worldwide, non-exclusive, royalty-free license to use, store, display, and process your content to deliver and improve the Services. You are solely responsible for ensuring you have the rights to grant us this license.

8. User Content

Any documents, files, comments, annotations, or other materials you upload to the Services constitute "User Content." You retain ownership of your User Content, but you grant other authorized users on your account access to view and edit your User Content as permitted by your access control settings. You represent and warrant that your User Content does not infringe any third-party intellectual property rights and does not violate any applicable law. We are not responsible for User Content generated, accessed, or shared by users.

9. Confidentiality

The Services and any related materials are confidential. You agree not to disclose our confidential information to third parties without our prior written consent. This does not apply to information that is publicly available, independently developed, or legally compelled to be disclosed.

10. Disclaimers

The Services are provided "as-is" and "as-available" without any warranties, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, uninterrupted, or secure. Use of the Services is at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law, in no event shall LiveDocHub be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the Services shall not exceed the fees you paid to LiveDocHub in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless LiveDocHub from any claims, damages, costs, and liabilities arising from your use of the Services, your User Content, your breach of these Terms, or your infringement of any third-party intellectual property rights. This includes reasonable attorneys' fees and court costs.

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms or engage in conduct we deem harmful or inappropriate. Upon termination, your right to use the Services ceases immediately. We may retain your User Content for a reasonable period as required by law or for legitimate business purposes, but you lose access to it upon account termination.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California. You agree to submit to the personal jurisdiction of these courts and waive any objection to venue or inconvenient forum.

15. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Your continued use of the Services after publication of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
